Terms and Conditions

These Terms and Conditions ("Terms") govern the provision of lead generation services by Flair XL FZCO ("Flair XL," "we," "us," or "our"), a company registered in Dubai, United Arab Emirates, to the client ("Client," "you," or "your"). By engaging our services, you agree to be bound by these Terms.
1. Services Provided
Flair XL provides qualified sales leads ("Leads") to the Client in agreed-upon verticals (e.g., Home Improvement, Financial Services).
- Lead Generation: We utilize various marketing channels to generate consumer interest and collect data.
- Lead Quality: We endeavor to provide Leads that meet the agreed-upon quality criteria (e.g., geographic location, expressed intent, contact information validity).
- Lead Delivery: Leads will be delivered to the Client via an agreed-upon method (e.g., CRM integration, API, email) in real-time or as otherwise specified in the Insertion Order (IO).
2. Client Obligations
- Compliance: The Client agrees to comply with all applicable laws and regulations, including but not limited to data protection, privacy, and telemarketing laws (e.g., CASL in Canada, TCPA in the US), when processing the Leads.
- Lead Usage: Leads are provided for the Client's internal use only and may not be resold, transferred, or otherwise shared with any third party without the express written consent of Flair XL.
- Data Security: The Client is solely responsible for implementing and maintaining adequate security measures to protect the Leads and any associated personal data from unauthorized access or disclosure.
- Communication: The Client agrees to contact Leads promptly and professionally.
3. Payment and Billing
- Pricing: Pricing for Leads will be based on a Cost Per Lead (CPL) model, as specified in the mutually executed Insertion Order (IO).
- Invoicing: Invoices will be issued weekly or bi-weekly, as agreed upon, and are payable within Net 7 days of the invoice date unless otherwise specified in the IO.
- Late Payment: Flair XL reserves the right to suspend lead delivery immediately for any overdue invoice. Late payments may be subject to a late fee of 1.5% per month or the maximum amount permitted by law.
4. Lead Return/Credit Policy
- Invalid Leads: The Client may request credit for Leads that are deemed invalid based on the criteria defined in the IO (e.g., disconnected phone number, wrong state/province, duplicate lead).
- Credit Window: All requests for lead credit must be submitted to Flair XL within 72 hours of the lead delivery time. Requests submitted after this window will not be eligible for credit.
- Verification: Flair XL will review all credit requests. Our determination, based on our internal verification data, shall be final.
5. Limitation of Liability
Flair XL provides Leads on an "as-is" basis and makes no guarantee regarding the conversion rate, sales, or profitability that the Client may achieve from the Leads. In no event shall Flair XL be liable for any indirect, incidental, punitive, or consequential damages arising out of or in connection with these Terms or the use of the Leads. Our total liability to the Client shall not exceed the total amount paid by the Client to Flair XL in the three (3) months preceding the claim.
6. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Emirate of Dubai and the Federal Laws of the United Arab Emirates. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai.
